I presenti Termini e Condizioni si applicano agli Operatori di Trasporto che hanno un account FREENOW attivo e hanno acquistato il FREENOW Pass per tassisti (di seguito denominati “Tassista/i” o “Operatore/i di Trasporto”) offerto da mytaxi Italia Srl (di seguito anche "FREENOW").

L'acquisto e l'utilizzo del FREENOW Pass sono soggetti ai presenti Termini e Condizioni e anche alle Condizioni Generali di Contratto per gli Operatori di Servizi di Mobilità (Accordo per il servizio di segnalazione FREE NOW) (“Condizioni Generali”). Pertanto, prima di acquistare il FREENOW Pass, il Tassista deve aver accettato anche le Condizioni Generali.

FREENOW offre agli Operatori di Trasporto registrati sulla sua piattaforma, di volta in volta e a propria esclusiva discrezione, la possibilità di scegliere e acquistare il FREENOW Pass, che è un abbonamento che consentirà loro di fornire agli utenti il servizio di trasporto taxi usufruendo del servizio di intermediazione offerto da FREENOW attraverso la Piattaforma FREENOW senza dover pagare la commissione di intermediazione per ciascuna corsa. Ciò significa che quando l'Operatore di Trasporto ha un FREENOW Pass attivo, le corse concluse durante il periodo coperto dal FREENOW Pass saranno soggette a una commissione di intermediazione di importo fisso prestabilito che l’Operatore di Trasporto paga con l’acquisto del FREENOW Pass.

Le seguenti condizioni si applicano all'acquisto del FREENOW Pass:

1. I Tassisti che desiderano acquistare il FREENOW Pass devono registrarsi tramite il sito Web dedicato che FREENOW fornirà via e-mail su richiesta del Tassista. Il prezzo del FREENOW Pass verrà comunicato durante il processo di acquisto.

2. FREENOW può offrire, a propria esclusiva discrezione, il FREENOW Pass Mensile, ossia un FREENOW Pass valido per tutte le corse concluse nell’intervallo di tempo compreso fra le ore 00:00 del primo giorno del mese fino alle ore 23:59 dell'ultimo giorno dello stesso mese. Non è previsto alcun rinnovo automatico e il FREENOW Pass Mensile scadrà automaticamente l'ultimo giorno del mese. Alla scadenza del FREENOW Pass Mensile, si applicherà quanto previsto dalle Condizioni Generali riguardo alla commissione di intermediazione, a meno che il Tassista non acquisti un nuovo FREENOW Pass.

3. Il FREENOW Pass Mensile deve essere acquistato entro l'ultimo giorno di ogni mese affinché il FREENOW Pass Mensile sia attivo per il mese successivo. Su espressa richiesta del Tassista, il FREENOW Pass Mensile può essere acquistato anche durante il mese in corso ed essere attivato per lo stesso mese, ma non ci sarà alcuna riduzione di prezzo per le settimane precedenti dello stesso mese in cui il Tassista ha effettuato le corse soggette alla tariffa di intermediazione regolata dalla sezione 7 “Condizioni Finanziarie” delle Condizioni Generali.

4. Una volta che il Tassista ha acquistato il FREENOW Pass Mensile inviando l'apposito modulo, il Tassista riceverà un'e-mail di conferma e la fattura da saldare tramite bonifico bancario entro i successivi 15 giorni dal ricevimento. Si faccia riferimento alla sezione 7 “Condizioni Finanziarie” delle Condizioni Generali per maggiori dettagli.

5. Il FREENOW Pass Mensile verrà attivato a partire dal primo giorno del mese successivo alla data di acquisto. Se il Tassista richiede espressamente a FREENOW di attivare il FREENOW Pass Mensile nello stesso mese dell’acquisto, FREENOW lo attiverà entro le 24 ore lavorative successive all'acquisto.

6. FREENOW può offrire, a propria esclusiva discrezione, il FREENOW Pass Settimanale, ossia un FREENOW Pass valido per tutte le corse concluse nell’intervallo di tempo compreso fra le ore 00:00 del lunedì le ore 23:59 della domenica della stessa settimana. Non è previsto alcun rinnovo automatico e il FREENOW Pass Settimanale scadrà automaticamente alle 23.59 della domenica. Alla scadenza del FREENOW Pass Settimanale, si applicherà quanto previsto dalle Condizioni Generali riguardo alla commissione di intermediazione, a meno che il Tassista non acquisti un nuovo FREENOW Pass.

7. Il FREENOW Pass Settimanale deve essere acquistato entro le ore 18:00 della venerdì, affinché il FREENOW Pass Settimanale possa attivarsi a partire dalle 00.00 del lunedì e restare valido per tutta la settimana successiva. 

8. Su espressa richiesta del Tassista, il FREENOW Pass Settimanale può essere acquistato anche durante la settimana in corso ed essere attivato al momento dell’acquisto. Il FREENOW Pass Settimanale non avrà effetto retroattivo, ma sarà valido solo per le corse concluse successivamente all’ora di acquisto, nei giorni successivi della stessa settimana. Il Tassista dovrà corrispondere a FREENOW la tariffa di intermediazione regolata dalla sezione 7 “Condizioni Finanziarie” delle Condizioni Generali in relazione a tutte le corse concluse prima dell’attivazione del FREENOW Pass Settimanale. Non sarà riconosciuta alcuna riduzione di prezzo o indennizzo per i giorni della settimana non coperti dal FREENOW Pass Settimanale.

9. Una volta che il Tassista ha acquistato il FREENOW Pass Settimanale inviando l'apposito modulo, il Tassista riceverà un'e-mail di conferma. FREENOW comunicherà al Tassista l’ammontare dei ricavi ottenuti dalle corse effettuate per la settimana coperta dal FREENOW Pass Settimanale e tratterrà direttamente da tale importo il costo del relativo FREENOW Pass Settimanale. Si faccia riferimento alla sezione 7 “Condizioni finanziarie” delle Condizioni Generali per maggiori dettagli. 

10. Il FREENOW Pass non può essere ceduto né cancellato, bensì scadrà automaticamente l'ultimo giorno del periodo di validità a cui fa riferimento. L'acquisto del FREENOW Pass non è rimborsabile. Quando l'account del Tassista può essere sospeso per giusta causa, non ci sarà alcun rimborso né rimborso proporzionale del prezzo del FREENOW Pass. Si faccia riferimento alla sezione 16 “Risoluzione” delle Condizioni Generali per maggiori dettagli.

11. Il FREENOW Pass può essere utilizzato in tutte le città in cui opera FREENOW.

12. FREENOW si riserva il diritto di modificare i presenti Termini e Condizioni o di interrompere l'offerta del FREENOW Pass in qualsiasi momento a propria esclusiva discrezione. Le modifiche ai presenti Termini e Condizioni del FREENOW Pass saranno efficaci dal primo acquisto di un FREENOW Pass successivo rispetto alle modifiche stesse. Se FREENOW decide di interrompere l'offerta del FREENOW Pass, il FREENOW Pass precedentemente acquistato continuerà a essere valido fino alla data di scadenza.

13. Si applica la legge italiana. Qualsiasi controversia derivante da o connessa all'acquisto del FREENOW Pass sarà devoluta in via esclusiva al Foro di Milano a meno che l’Operatore di Trasporto (i) abbia meno di dieci Tassisti, e (ii) realizzi un fatturato annuo oppure un totale di bilancio annuo non superiore a due milioni di euro. In quest’ultimo caso, qualsiasi controversia, azione o reclamo derivante o comunque relativa ai presenti Termini e Condizioni sarà devoluta alla competenza del foro in cui l’Operatore di Trasporto è stabilito.

Accettazione ai sensi degli articoli 1341 e 1342 c.c.:

Dopo aver preso visione dei presenti Termini e Condizioni, l’Operatore di Trasporto dichiara, ai sensi degli artt. 1341 e 1342 c.c., di accettare e approvare integralmente le clausole di cui alle sezioni: 10. (Cessione del FREENOW Pass); 12. (Sospensione e modifiche ai Termini e Condizioni); 13 (Foro Competente).

These Terms and Conditions apply to Transport Operators that have an active FREENOW account and opted in to purchase the FREENOW Pass for drivers (hereinafter referred to as “Driver” or “Transport Operator”) offered by mytaxi Italia Srl (hereinafter also referred to as "FREENOW").

The purchase and use of the FREENOW Pass are subject to these Terms and Conditions and also to the Condizioni Generali di Contratto per gli Operatori di Servizi di Mobilità (Accordo per il servizio di segnalazione FREE NOW) (“General Terms”). Therefore, before purchasing the FREENOW Pass, the Driver shall also accept the General Terms. 

FREENOW offers to the Transport Operators registered into its platform, from time to time and at its sole discretion, the possibility to opt and purchase the FREENOW Pass which is a subscription that will allow them to provide to users the taxi transport service relying on the intermediation service offered by FREENOW through the FREENOW Platform without having to pay the intermediation fee per each tour. This means that when the Transport Operator has an active FREENOW Pass the tours completed during the period covered by the FREENOW Pass shall be subject to an intermediation fee of a fixed preestablished amount that the Transport Operator pays by purchasing the FREENOW Pass.

The following conditions shall apply to the purchase of the FREENOW Pass:

1. Drivers that want to subscribe to the FREENOW Pass shall register through a dedicated website that FREENOW will provide via email upon Drivers’ request. The price of the FREENOW Pass will be informed during the purchase process.

2. FREENOW may offer, at its sole discretion, the FREENOW Monthly Pass, meaning a FREENOW Pass that is valid for all rides completed in the time between 00:00 a.m. on the 1st day of the month and 11:59 p.m. on the last day of the same month. There is no automatic renewal and the FREENOW Monthly Pass will automatically expire on the last day of the month. Upon the expiration of the FREENOW Monthly Pass, the provisions on the intermediation fee provided in the General Terms will apply, unless the Transport Operator buys a new FREENOW Pass.

3. The FREENOW Monthly Pass shall be purchased until the last day of each month for the FREENOW Monthly Pass to be active for the following month. Upon express request of the Driver, the FREENOW Monthly Pass may also be purchased during the ongoing month and may be activated for the same month, but there will be no price reduction for the previous weeks of the same month where the Driver has made tours under the weekly intermediation fee scheme regulated under Section 7 “Financial Conditions” of the General Terms.

4. Once the Driver has purchased the FREENOW Monthly Pass by submitting the relevant form, the Driver will receive a confirmation email and the invoice to be paid via bank transfer within the following 15 days from receipt. Please refer to section 7 “Financial Conditions” of the General Terms for further details.

5. The FREENOW Monthly Pass will be activated starting from the first day of the month following the date of purchase. In case the Driver expressly requires FREENOW to activate the FREENOW Monthly Pass during the month of purchase, it will be activated within the 24 working hours after the purchase.

6. FREENOW may offer, at its sole discretion, the FREENOW Weekly Pass, meaning a FREENOW Pass that is valid for all rides completed in the time between 00:00 a.m. on Monday and 11:59 p.m. on Sunday of the same week. There is no automatic renewal and the FREENOW Weekly Pass will automatically expire at 11:59 p.m. on Sunday. Upon the expiration of the FREENOW Weekly Pass, the provisions on the intermediation fee provided in the General Terms will apply, unless the Driver buys a new FREENOW Pass.

7. The FREENOW Weekly Pass shall be purchased by 18:00 p.m. on Friday, for the FREENOW Weekly Pass to be active as of 00:00 a.m. on Monday and remain valid for the entire following week. 

8. Upon express request of the Driver, the FREENOW Weekly Pass may also be purchased during the ongoing week and may be activated at the time of purchase. The FREENOW Weekly Pass will not be retroactive, but will be valid only for rides completed subsequent to the time of purchase, on subsequent days of the same week. The Driver shall pay FREENOW the intermediation fee governed by Section 7 "Financial Conditions" of the General Terms with respect to all rides completed prior to the activation of the FREENOW Weekly Pass. No price reduction or refund will be recognized for days of the week not covered by the FREENOW Weekly Pass.

9. Once the Driver has purchased the FREENOW Weekly Pass by submitting the relevant form, the Driver will receive a confirmation email. FREENOW will inform the Driver of the amount of income obtained for the rides completed during the week covered by the FREENOW Weekly Pass and will directly hold from such amount the cost of the relevant FREENOW Weekly Pass. Please refer to section 7 “Financial Conditions” of the General Terms for further details.

10. The FREENOW Pass cannot be transferred nor cancelled but will automatically expire on the last day of the relevant period of validity. The purchase of the FREENOW Pass is non-refundable. When the Driver’s account may be suspended for cause, there will be no refund neither proportional reimbursement of the price of the FREENOW  Pass. Please refer to sections 9 “Exclusion from use” and 16 “Termination” of the General Terms for further details.

11. The FREENOW Pass can be used in all the cities where FREENOW operates.

12. FREENOW reserves the right to modify these Terms and Conditions or stop offering the FREENOW Pass at any time in its sole discretion. The modifications to these Terms and Conditions will be effective as of the first FREENOW Pass purchase following such modifications. If FREENOW decides to stop offering the FREENOW Pass, a FREENOW Pass that was priorly purchased will continue to be valid until its expiration date. 

13. Italian law shall apply. Any dispute arising from or in connection with the purchase of the FREENOW Pass shall be brought exclusively to the Courts of Milan unless in the event the Transport Operator (i) has less than ten Drivers, and (ii) achieves an annual turnover not exceeding two million euros. In the latter case, any dispute, litigation or claim arising from or in connection with these Terms and Conditions will be resolved by the Courts of the place where the Transport Operator is established.

Explicit consent pursuant to articles 1341 and 1342 of the civil code:

After examining these Terms and Conditions, the Transport Operator declares, pursuant to articles 1341 and 1342 of the civil code, to fully accept and specifically approve the clauses listed in sections: 10. (Assignment of the FREENOW Pass); 12. (Suspension and changes to the Terms and Conditions); 13 (Competent court)
